By accessing or using the website at premierleadsource.com ("Site") or engaging Premier Lead Source ("Company," "we," "our," or "us") for digital marketing services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Site or services.
2. Services
Premier Lead Source provides digital marketing services including but not limited to: search engine optimization (SEO), pay-per-click advertising (PPC), website design and development, conversion rate optimization (CRO), content creation, reputation management, and lead tracking for healthcare organizations.
Specific services, deliverables, timelines, and fees are governed by individual service agreements or statements of work ("SOW") entered into between Premier Lead Source and each client. These Terms of Service apply in addition to any such agreements.
3. Use of the Website
You agree to use this Site only for lawful purposes and in a manner that does not infringe the rights of others. You agree not to:
- Use the Site in any way that violates applicable federal, state, or local laws or regulations
- Transmit any unsolicited or unauthorized advertising or promotional material
- Attempt to gain unauthorized access to any part of the Site or its related systems
- Use automated tools to scrape, crawl, or extract data from the Site
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
4. Intellectual Property
All content on this Site — including text, graphics, logos, images, and software — is the property of Premier Lead Source or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
Work product created for clients under a service agreement becomes the property of the client upon full payment, as specified in the applicable SOW.
5. Disclaimers and Limitations of Liability
The information on this Site is provided on an "as is" basis without any warranties, express or implied. Premier Lead Source does not warrant that the Site will be uninterrupted, error-free, or free of viruses.
Marketing results disclaimer: Digital marketing results vary based on market conditions, competition, budget, and other factors outside our control. Any case studies, statistics, or examples presented on this Site represent past performance and are not guarantees of future results.
To the fullest extent permitted by law, Premier Lead Source shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or our services.
6. Healthcare Compliance
Premier Lead Source provides marketing services to healthcare organizations. We are not a covered entity under HIPAA and do not have access to protected health information (PHI) unless specifically agreed upon in writing. Clients are responsible for ensuring their own HIPAA compliance and for reviewing all marketing materials for compliance with applicable healthcare advertising regulations, including LegitScript requirements for addiction treatment advertising.
7. Payment Terms
Payment terms for services are specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may be subject to a 1.5% monthly finance charge. Premier Lead Source reserves the right to suspend services for accounts more than 30 days past due.
8. Termination
Either party may terminate a service agreement as specified in the applicable SOW. Upon termination, you remain responsible for all fees incurred through the termination date. Premier Lead Source reserves the right to terminate access to the Site for any user who violates these Terms of Service.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Clark County, Nevada.
10. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes your acceptance of the new terms.
